This NFT Purchase Agreement (this “Agreement”) is a legally binding agreement between Portals Organization, UAB ("Portals Organization") and the initial and any subsequent purchaser of this co-ownership agreement (hereinafter referred to as “you” or “Purchaser”). Portals Organization, UAB and each Purchaser may be collectively referred to as the “Parties” or individually as a “Party”.
1. Acceptance of Terms
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. BY CLICKING TO ACCEPT, SIGNING, AND/OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL OF THE TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
2. Fellowship Certificate
2.1 By purchasing the fellowship certificate, you confirm that you have fully read the portals.org/fellowship page.
2.2 The Fellowship Certificate grants membership access to the closed community. Portals Organization reserves the right to revoke access if the Purchaser acts against the interest or in a manner damaging to the Portals Organization. In the event of revocation, the Purchaser remains the owner of the acquired NFT image.
3. Ownership of Artwork
The owner of the fellowship certificate owns the artwork of the image and the image itself, excluding the Portals logo. Ownership of the fellowship certificate does not include ownership of any portal sculptures or any other assets.
4. Portals Organization Rights
Portals Organization retains the right as well as the final decision right regarding all questions and activities of the Portals Network artwork.
5. Updates to Terms
5.1 Portals Organization reserves the right to update and change these terms without sending additional emails.
5.2 Any changes to the terms will be effective immediately upon posting the revised agreement on the Portals Organization website. It is your responsibility to review these terms periodically for any updates or changes.
6. Usage of NFT Certificate
6.1 NFT owners are responsible for learning how to use the blockchain wallet and use the certificate to access the community.
6.2 You understand that Portals team is not responsible in any way to help you use your certificate or access the community.
6.3 You understand that Portals Organization does not guarantee to communicate with you or provide customer support.
7. Risks Associated with Digital Assets
There are risks associated with using an Internet-based digital asset, including but not limited to, hardware, software, and Internet connections. Portals Organization will not be responsible for any communication failures, disruptions, errors, distortions, or delays experienced during NFT transactions.
8. No Guarantees
Portals Organization will work towards expanding the Portals Network and creating a rewarding experience for all Portal Fellows. However, due to the complex nature of the project, Portals Organization cannot guarantee any specific results, including artworks or Portal Sculptures built.
9. Dispute Resolution
Both parties agree to avoid resolving conflicts in court; however, if necessary, any disputes shall be resolved in the courts of Lithuania, where Portals Organization is registered.
10. Black Swan Events
10.1 In the event of a force majeure event or any other unforeseeable circumstance beyond the control of either Party (a “Black Swan Event”), including but not limited to natural disasters, acts of terrorism, or government regulations, Portals Organization shall not be liable for any failure or delay in the performance of its obligations under this Agreement.
10.2 The Party affected by the Black Swan Event shall promptly notify the other Party of such event and take all reasonable steps to mitigate its impact on the performance of this Agreement.
11. Limitation of Liability
Portals Organization will not provide any refunds for purchased certificates.
